1. In the interpretation of these presents the following words and expressions have the following meanings, unless excluded by the subject or context:

(a)	"The Company" means The New Zealand Shipping Company (Limited).
(b)	"The United Kingdom" means the United Kingdom of Great Britain and Ireland.
(c)	"The Statutes" means and includes the Joint Stock Companies' Acts, 1860; The Joint Stock Companies' Amendment Act, 1862; The Companies' Act, 1868; and the Joint Stock Companies' Amendment Act, 1869; and every other Act from time to time in force concerning Joint Stock Companies, and necessarily affecting the Company.page 12
(d)	"These Presents" means and includes the Memorandum of Association of the Company, and these Articles of Association, and the regulations of the Company from time to time in force.
(e)	"Special Resolution" means a special resolution of the Company, passed in accordance with Section 3 of the Joint Stock Companies' Amendment Act, 1869, or any other enactment which may replace or modify that section.
(f)	"Capital" means the Capital from time to time of the Company.
(g)	"Shares" means the shares from time to time of the Company.
(h)	"Shareholders" means the holders of the shares for the time being.
(i)	"Registered Shares" means shares, the names of the holders whereof for the time being should be entered in the Register of Members of the Company, according to the Statutes and these presents.
(j)	"Registered Shareholders" means the holders of those shares.
(k)	"Directors" means the Directors of the Company for the time being, or, as the case may be, the Directors assembled at a Board.
(l)	"Board" means a Meeting of the Directors of duly called and constituted, or, as the case may be, the Directors assembled at such Meetingpage 13
(m)	"Auditors," "Managers," "Secretary," mean those respective officers from time to time of the Company.
(n)	"Ordinary Meeting" means an Ordinary General Meeting of the Shareholders of the Company duly called and constituted, and any adjourned holding thereof.
(o)	"Extraordinary Meeting" means an Extraordinary General Meeting of the Shareholders duly called and constituted, and any adjourned holding thereof.
(p)	"General Meeting" means an Ordinary Meeting or an Extraordinary Meeting.
(q)	"Office" means the Registered Office from time to time of the Company.
(r)	"Seal" means the Common Seal from time to time of the Company.
(s)	"Month" means Calendar Month.
(t)	Words importing the singular number only, include the plural number.
(u)	Words importing the plural number only, include the singular number.
(v)	Words importing the masculine gender only, include the feminine gender.
(w)	"Person," and other words prima facie importing individuals only, include corporate bodies, mutatis mutandis.
